NFT License & Usage Rights

This NFT License ("License") applies to Jammin' Alpacas NFTs issued as part of the Music Hall of Fame Club ecosystem, including the Jammin' Alpacas community.

This License explains what rights you receive when you own a Jammin' Alpacas NFT and what rights are retained by Jammin' Alpacas LLC.

1. Ownership of the NFT

When you purchase or otherwise acquire a Jammin' Alpacas NFT, you own the NFT itself, as recorded on the applicable blockchain.

Ownership of the NFT does not grant ownership of:

• The Jammin' Alpacas name, brand, or trademarks
• The underlying artwork, characters, or intellectual property
• Any music, logos, or related assets unless expressly stated

Jammin' Alpacas LLC retains all rights not explicitly granted in this License.

2. Personal Use Rights

Subject to your continued ownership of the NFT and compliance with these Terms, Jammin' Alpacas LLC grants you a worldwide, royalty-free, non-exclusive license to use, display, and reproduce the associated Jammin' Alpacas artwork for personal, non-commercial use.

Personal use includes:

• Displaying the NFT on digital platforms or social media
• Using the NFT as an avatar or profile image
• Showing the NFT in personal galleries or collections

3. Limited Commercial Use Rights

Jammin' Alpacas LLC grants NFT holders limited commercial use rights to create and sell merchandise or derivative works based on the specific NFT you own, subject to the following conditions:

• Commercial use must be directly tied to the NFT you own
• Total gross revenue from such use must not exceed USD $100,000 per year
• Use must not imply endorsement, partnership, or affiliation with Jammin' Alpacas LLC or the Music Hall of Fame Club
• Use must comply with all applicable laws and platform rules

This commercial use right does not grant:

• Rights to use Jammin' Alpacas trademarks or logos
• Rights to use other Jammin' Alpacas characters you do not own
• Rights to sublicense or license the artwork to third parties

4. Prohibited Uses

You may not use the NFT artwork in connection with:

• Hate speech, harassment, or discrimination
• Violence, illegal activity, or exploitation
• Pornographic or sexually explicit material
• Political campaigns or advocacy
• Content that is misleading, defamatory, or harmful to the community

Jammin' Alpacas LLC reserves the right to revoke this License if the NFT is used in a manner that violates these restrictions.

5. Brand Protection & Marketplace Sales

You may buy, sell, or transfer Jammin' Alpacas NFTs on compatible marketplaces, subject to the marketplace's terms and applicable law.

Any sale or transfer of an NFT automatically transfers the rights granted under this License to the new owner, and terminates your rights.

6. Community & Membership Benefits

Ownership of a Jammin' Alpacas NFT may provide access to certain community experiences, benefits, or discounts. These benefits:

• Are not guaranteed
• May change over time
• May be modified or discontinued
• Do not create contractual rights beyond this License

NFT ownership does not guarantee continued access to any specific feature or benefit.

7. Relationship to the Music Hall of Fame Club

Jammin' Alpacas is the Founding Membership community of the Music Hall of Fame Club.

This License does not create:

• A partnership
• A joint venture
• An agency relationship
• Any ownership interest in the Music Hall of Fame Club or its collaborators

8. Termination

This License remains in effect only while you own the NFT.

If you sell, transfer, or otherwise dispose of the NFT, your rights under this License terminate immediately.

Jammin' Alpacas LLC may also terminate this License if you breach its terms.

9. Changes to This License

Jammin' Alpacas LLC may update this License from time to time. Updates will apply prospectively and will not retroactively revoke rights already exercised in good faith.
