These Terms of Use ("Terms") govern your access to and use of the Music Hall of Fame Club website, the Jammin' Alpacas website, The Merch Table, and any related applications, services, digital assets, or platforms (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. About the Ecosystem
The Music Hall of Fame Club ("MHOFC") is a cultural project focused on music, creativity, and community. Jammin' Alpacas is a music-driven NFT membership community and the Founding Membership community of the Music Hall of Fame Club.
The Merch Table is the official commerce platform of the Music Hall of Fame Club ecosystem.
Together, these offerings form a broader ecosystem that may evolve over time to include additional communities, collaborations, products, and services.
Nothing in the Services constitutes an offer to sell securities, ownership interests, or investment products.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to access or use the Services.
You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.
3. Changes to the Services
The Services are evolving. We may add, remove, modify, suspend, or discontinue features, content, or functionality at any time, with or without notice.
We do not guarantee that any particular feature, benefit, experience, product, or access level will remain available.
4. Digital Assets Overview
4.1 $JPACA Utility Token
$JPACA is a utility token designed to support participation within the Jammin' Alpacas ecosystem.
$JPACA is not an investment, security, ownership interest, or financial instrument. There is no guarantee of value, liquidity, or future utility.
4.2 Jammin' Alpacas NFTs
Jammin' Alpacas NFTs are digital collectibles and membership artifacts.
NFT ownership does not confer equity, voting rights, revenue share, or legal ownership in any entity.
NFTs are subject to market and technology risks, including potential loss of value.
4.3 Mystery Boxes and Randomized Reveals
Certain NFTs are revealed through Mystery Boxes, which involve randomized outcomes.
By participating, you acknowledge and accept that:
- NFT outcomes are chance-based
- Rarity is not guaranteed
- Mystery Boxes are burned upon opening
- No refunds or exchanges are provided based on dissatisfaction with results
5. No Financial or Investment Advice
Nothing within the Services constitutes financial, legal, or investment advice.
You are solely responsible for evaluating the risks associated with digital assets and blockchain-based participation.
6. No Guarantees
We make no guarantees regarding:
- Availability or longevity of the Services
- Value or utility of tokens or NFTs
- Access to future benefits or experiences
- Market or regulatory conditions
Participation is voluntary and at your own risk.
7. Intellectual Property
All intellectual property associated with the Services is owned by or licensed to Jammin' Alpacas LLC or its collaborators, except where otherwise stated.
NFT usage rights are governed by a separate NFT License.
8. Acceptable Use
You agree not to:
- Use the Services unlawfully
- Engage in harassment, hate speech, or abusive behavior
- Misrepresent affiliation with the ecosystem
- Attempt to exploit or manipulate features
- Infringe intellectual property rights
We reserve the right to restrict or terminate access for violations.
9. Third-Party Services
The Services may integrate with third-party platforms including blockchain networks, wallets, marketplaces, and commerce providers.
We are not responsible for third-party services or their terms.
10. Commerce & Member Benefits
The ecosystem may include physical and digital goods sold through The Merch Table.
Member benefits, discounts, or gated access:
- Are not guaranteed
- May change or end at any time
- Do not create contractual rights
11. Limitation of Liability
To the maximum extent permitted by law, Jammin' Alpacas LLC and its affiliates shall not be liable for indirect, incidental, or consequential damages arising from use of the Services.
12. Indemnification
You agree to indemnify and hold harmless Jammin' Alpacas LLC from claims arising from your use of the Services or violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
