Music Hall of Fame Club Ecosystem — Master Policy

Introduction

These Terms of Use ("Terms") form a legally binding agreement between you and Jammin Alpacas LLC, a Delaware limited liability company with a principal office at 120 Eagle Rock Avenue, Suite 155, East Hanover, NJ 07936 ("Jammin Alpacas LLC," "we," "us," or "our").

These Terms govern your access to and use of the Music Hall of Fame Club™ ecosystem, including:

The Music Hall of Fame Club™ website at musichofc.com (the "Club")
The Jammin' Alpacas website at jamminalpacas.com
The Merch Table at merch.musichofc.com
The Jammin' Review at jamminreview.com
Any related applications, smart contracts, on-chain interfaces, member-only experiences, social media properties, and other services we operate

(collectively, the "Services").

By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

These Terms work together with our Privacy Policy, NFT License & Usage Rights, Token & NFT Disclaimer, Community Guidelines, Commerce & Fulfillment Policy, and any site-specific addenda published on the operating site you are using. All of these documents are incorporated by reference into these Terms.

1. About the Ecosystem

The Music Hall of Fame Club is a music membership project. Jammin' Alpacas is the Founding Membership Community of the Club. The Club is structured to admit additional membership collections and collaborators over time.

The Merch Table is the official commerce platform of the Music Hall of Fame Club ecosystem. The Jammin' Review is the community-curated music archive operated by Jammin Alpacas LLC.

The ecosystem may evolve to include additional communities, collections, collaborations, products, services, and operating properties. These Terms apply to all current and future Services unless we publish a separate, conflicting agreement that expressly governs a specific Service.

Nothing in the Services constitutes an offer to sell securities, ownership interests, or investment products. The $JPACA token is a utility token. Jammin' Alpacas NFTs are digital collectibles and membership artifacts. Neither is offered as, or should be interpreted as, an investment.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to access or use the Services. By using the Services, you represent and warrant that:

You are of legal age and have the legal capacity to enter into these Terms
You are not located in, organized under the laws of, or a citizen or resident of any jurisdiction that is subject to comprehensive United States, United Nations, European Union, or United Kingdom sanctions
You are not on the United States Treasury Department's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List, or any equivalent sanctions list maintained by another governmental authority
Your use of the Services does not violate any applicable law in your jurisdiction
You have not been previously suspended, banned, or removed from the Services for cause

We reserve the right to refuse or terminate access to the Services in our sole discretion, including for compliance reasons.

The age requirement above applies to the core Services. The Jammin' Review may permit users aged 13 or older to participate, subject to applicable parental consent requirements under the U.S. Children's Online Privacy Protection Act ("COPPA") and equivalent laws. See the Jammin' Review site-specific Uploader Terms for details.

3. Changes to the Services

The Services are evolving. We may add, remove, modify, suspend, or discontinue features, content, products, or functionality at any time, with or without notice.

We do not commit to keeping any particular feature, benefit, experience, product, or access level available indefinitely. Roadmap statements, planned features, and forward-looking communications reflect current intent only and do not constitute contractual commitments.

4. Digital Assets

4.1 The $JPACA Utility Token

$JPACA is a utility token deployed on the Base network. Its purpose is to support participation within the Music Hall of Fame Club ecosystem, including the Mystery Mint described in Section 4.3 below.

$JPACA is not an investment, security, ownership interest, or financial instrument. There is no guarantee of value, liquidity, or future utility. The complete framing of $JPACA is set out in the Token & NFT Disclaimer, which is incorporated here by reference.

4.2 Jammin' Alpacas NFTs as Membership Credentials

Jammin' Alpacas NFTs are membership credentials of the Music Hall of Fame Club. Holders use their NFT to authenticate access to gated areas of the Music Hall of Fame Club ecosystem, receive holder benefits at The Merch Table, exercise weighted voting on the Jammin' Review, and participate in the Founding Membership Community.

The Artwork associated with each Jammin' Alpacas NFT is the visual representation of that membership. The combined NFT-and-Artwork is a digital collectible and a membership artifact, governed by the rights and obligations set out in our NFT License & Usage Rights (the "NFT License").

NFT ownership confers the rights described in the NFT License, and nothing more. NFT ownership does not confer:

Equity, voting rights, or revenue share in Jammin Alpacas LLC
Any financial claim on Jammin Alpacas LLC, the Music Hall of Fame Club, or any affiliate
Any guarantee of continued benefits, features, or experiences (member benefits may evolve over time)
Any rights in the Jammin' Alpacas brand, logo, or trademarks beyond what is expressly granted in the NFT License

NFTs are subject to market and technology risks, including potential loss of value.

4.3 Mystery Box Promotional Program

The Music Hall of Fame Club operates a tiered promotional program through which holders who acquire $JPACA at specified thresholds receive a complimentary Mystery Box that opens to reveal a Jammin' Alpacas NFT membership credential.

The consideration in each transaction is for the $JPACA token, which carries its own utility within the Music Hall of Fame Club ecosystem (including community rewards eligibility and ecosystem participation, as described in Section 4.1 and in the Token & NFT Disclaimer). The Mystery Box and the resulting Jammin' Alpacas NFT membership credential are provided as promotional bonuses with the $JPACA purchase, at no additional charge.

The four tiers (Floor at $12.50, Balcony at $25, Backstage at $50, and Afterparty at $100 in $JPACA) provide access to different membership credentials, with credentials at higher tiers featuring rarer artwork from the Jammin' Alpacas collection. Specific rarity weighting for each tier is published on the Music Hall of Fame Club and Jammin' Alpacas websites and is encoded in the smart contract.

By participating in the Mystery Mint promotional program, you acknowledge and accept that:

The specific Jammin' Alpacas NFT revealed within your tier's pool is determined by an on-chain randomness mechanism described in the Token & NFT Disclaimer
The promotional Mystery Box is burned upon opening; the revealed NFT is your membership credential going forward
No refunds, exchanges, substitutions, or recourse of any kind are available based on dissatisfaction with a revealed Jammin' Alpaca, as the NFT is a membership credential rather than a purchased product

5. No Financial, Legal, Tax, or Investment Advice

Nothing within the Services constitutes financial, legal, tax, or investment advice. You are solely responsible for evaluating the legal, financial, tax, and other implications of acquiring, holding, transferring, or disposing of $JPACA, Jammin' Alpacas NFTs, or any other digital asset within the ecosystem.

You are encouraged to consult independent professional advisors before participating in any aspect of the Services involving digital assets.

6. No Guarantees

We make no representations or warranties regarding:

The continued availability, longevity, or performance of any Service
The market value, utility, or tradability of $JPACA, Jammin' Alpacas NFTs, or any other digital asset
Continued access to any specific feature, benefit, drop, event, or experience
The behavior of third-party platforms, blockchain networks, marketplaces, or service providers
The legal or regulatory environment for digital assets in any jurisdiction

Participation in the Services is voluntary and at your own risk.

7. Intellectual Property

7.1 Our IP

The Services, the Music Hall of Fame Club brand, the Jammin' Alpacas brand, related logos, designs, artwork, software, written content, video content, audio content, and trade dress are owned by or licensed to Jammin Alpacas LLC. Trademark applications for "Music Hall of Fame Club" and "Jammin' Alpacas" have been filed with the United States Patent and Trademark Office and are owned by Jammin Alpacas LLC.

All rights not expressly granted to you in these Terms or in the NFT License are reserved by Jammin Alpacas LLC.

7.2 NFT Holder Rights

NFT holder rights are governed entirely and exclusively by the NFT License & Usage Rights published at musichofc.com/policies/licenses. Nothing in these Terms expands the rights granted under the NFT License.

7.3 User-Submitted Content

If you submit content to the Services (including comments, posts, uploads to the Jammin' Review, or other communications), you retain ownership of that content but grant Jammin Alpacas LLC a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to host, display, distribute, modify, adapt, and otherwise use the content in connection with operating and promoting the Services.

For Jammin' Review uploaders specifically, additional terms apply under the Jammin' Review Uploader Terms.

You represent and warrant that any content you submit does not infringe any third party's intellectual property rights, privacy rights, or publicity rights, and does not violate any law.

7.4 DMCA Notices

If you believe content within the Services infringes your copyright, you may submit a notice to our Designated Agent under the U.S. Digital Millennium Copyright Act:

A complete DMCA notice procedure, including counter-notice rights, is published on the Jammin' Review at jamminreview.com/policies/dmca. We will respond to valid notices in accordance with the DMCA, including by removing infringing content and terminating the accounts of repeat infringers.

8. Acceptable Use

You agree that you will not, and will not attempt to:

Use the Services in violation of any applicable law or regulation
Engage in harassment, hate speech, threats, intimidation, or abusive behavior toward other users or the team
Misrepresent your identity, your affiliation with Jammin Alpacas LLC, or the nature of any digital asset
Attempt to exploit, manipulate, reverse-engineer, or attack the Services or any underlying smart contract
Engage in market manipulation, wash trading, or coordinated price manipulation involving $JPACA or Jammin' Alpacas NFTs
Infringe any third party's intellectual property, privacy, or publicity rights
Upload, post, or transmit any malware, virus, or harmful code
Use automated tools (including bots, scrapers, or crawlers) to access the Services in ways that exceed reasonable use, impair system performance, or circumvent rate limits
Attempt to gain unauthorized access to any portion of the Services, accounts, or wallets
Bypass age, geography, or eligibility restrictions
Use the Services to facilitate money laundering, terrorist financing, sanctions evasion, fraud, or other illicit activity

We reserve the right to investigate suspected violations and to restrict, suspend, or terminate access to the Services for any user we believe to be in violation, with or without prior notice.

9. Third-Party Services

The Services integrate with third-party platforms, including blockchain networks (Base, Ethereum), wallets (such as MetaMask and Coinbase Wallet), marketplaces (such as OpenSea and Magic Eden), commerce providers (such as Shopify), payment processors, hosting providers, and analytics platforms.

Your use of these third-party services is governed by their own terms and privacy policies. Jammin Alpacas LLC is not responsible for, and does not endorse, third-party services or their content. We do not guarantee the security, availability, or behavior of any third-party platform.

When you connect a wallet, sign a transaction, make a purchase, or otherwise interact with a third-party service through our Services, you do so at your own risk and subject to that third party's terms.

10. Commerce and Member Benefits

Physical and digital goods may be sold through The Merch Table. Commerce-related operational policies — including shipping, returns, refunds, and tax — are published as site-specific addenda on merch.musichofc.com.

Member benefits, discounts, gated access, and similar privileges:

Are not guaranteed
May be modified, expanded, restricted, or discontinued at any time
Do not create contractual rights beyond the Services in effect at the time of use
Are conditioned on continued compliance with these Terms and the NFT License

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JAMMIN ALPACAS LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE INFORMATION PROVIDED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE; OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL JAMMIN ALPACAS LLC, ITS AFFILIATES, OR ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR DIMINUTION IN VALUE, ARISING FROM OR RELATING TO THE SERVICES, $JPACA, JAMMIN' ALPACAS NFTS, OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

(b) IN NO EVENT WILL THE AGGREGATE LIABILITY OF JAMMIN ALPACAS LLC AND ITS AFFILIATES TO YOU EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID DIRECTLY TO JAMMIN ALPACAS LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY EVEN IF JAMMIN ALPACAS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Jammin Alpacas LLC, its affiliates, and its respective officers, directors, employees, members, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your access to or use of the Services
Your violation of these Terms, the NFT License, or any other applicable policy
Your violation of any law or third-party right (including intellectual property, privacy, or publicity rights)
Any content you submit, post, or upload to the Services
Any commercial use you make of NFT artwork (whether under the NFT License or otherwise)

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

14. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

14.1 Informal Resolution

Before filing any claim against Jammin Alpacas LLC, you agree to first contact us at policies@mhofc.com and provide a written description of your claim and the relief you seek. We will attempt to resolve disputes informally for sixty (60) days following receipt of such notice.

14.2 Binding Arbitration

If a dispute is not resolved informally, you and Jammin Alpacas LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the digital assets by final and binding arbitration, except as provided below. Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The seat of the arbitration shall be Wilmington, Delaware (or such other location as the parties agree). The arbitrator's award will be binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND JAMMIN ALPACAS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of Section 14 (Arbitration) is null and void, but the remainder of these Terms will continue in effect.

14.4 Carve-Outs

Notwithstanding the foregoing:

Either party may bring an individual action in small claims court for disputes within the court's jurisdiction
Either party may seek injunctive or equitable relief in court to protect intellectual property rights, confidential information, or to enforce Section 14.3 (Class Action Waiver)

14.5 Opt-Out Right

You may opt out of the arbitration agreement in Section 14.2 and the class action waiver in Section 14.3 by sending a written opt-out notice to policies@mhofc.com within thirty (30) days of first accepting these Terms. Your notice must include your name, your wallet address (if applicable), and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

15. Governing Law; Forum

These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute not subject to arbitration under Section 14 must be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

16. Termination

We may suspend or terminate your access to all or any portion of the Services, with or without cause, with or without notice, at any time. Upon termination:

Your right to use the Services ceases immediately
The provisions of these Terms that by their nature should survive (including Sections 7, 11, 12, 13, 14, 15, and 17) will survive termination
You will continue to be bound by any obligations incurred prior to termination

You may stop using the Services at any time. Termination of access does not affect ownership of your $JPACA or Jammin' Alpacas NFTs (which are recorded on-chain), but may affect your access to off-chain features, member experiences, and ecosystem benefits.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, NFT License, Token & NFT Disclaimer, Community Guidelines, Commerce & Fulfillment Policy, and any site-specific addenda, constitute the entire agreement between you and Jammin Alpacas LLC regarding the Services.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.

17.5 Force Majeure

Jammin Alpacas LLC will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disruptions, internet or blockchain network disruptions, denial-of-service attacks, or smart contract or oracle failures.

17.6 No Third-Party Beneficiaries

Except as expressly stated, these Terms confer no rights on any third party.

17.7 Headings

Section headings are for convenience only and do not affect interpretation.

17.8 Updates to These Terms

We may update these Terms from time to time. We will indicate the "Last updated" date at the top of this document. Material changes will be communicated through the Services where feasible. Your continued use of the Services after an update constitutes acceptance of the updated Terms.
